CO-SIGN AGREEMENT

 
I, , as a co-signer understand that I am taking full responsibility for the terms and conditions of the lease agreement (Hereinafter "Lease") between (Hereinafter "Owner") and the Tenant in regard to the located at , (the "Premises"), commencing on .

Should the Tenant fail to comply with all terms and conditions of the lease, immediately upon the breach of said contract, the Owner shall have the right to exercise all remedies contained in the Lease and the laws of the stage of , including but not limited to terminating Tenants right of occupancy.

  1. THE GUARANTEE:

    The Co-Signer guarantees, unconditionally and absolutely, the full and faithful performance and observance of all the covenants, terms and conditions of the Lease provided to be performed and observed by Tenant, expressly including, without being limited to, the payment of rent, when due, under the Lease.


  2. MODIFICATION
     
    Any amendment or modification of this Agreement or additional obligation assumed by either party in connection with this Agreement will only be binding if evidenced in writing signed by both parties.
     
  3. LEASE MODIFICATION:

    If the Lease is modified, renewed or extended, or if the Tenant holds over beyond the term of the Lease, the obligations hereunder of Co-Signer shall extend and apply with respect to the full and faithful performance of all of the covenants, terms and conditions of the Lease and of any such modification, renewal, or extension thereof.


  4. BINDING EFFECT
     
    Except as otherwise provided in this Agreement, all of the covenants, conditions, and provisions of this Agreement shall apply to and bind the parties and the heirs, personal representatives, successors, and assigns of the parties.
     
  5. BREACH:

    The Parties acknowledge that no breach of any provision of the Agreement shall be deemed waived unless evidences in writing. A waiver of any one breach shall not be deemed a waiver of any other breach in the same or any other provision of the Note.


  6. GOVERNING LAW
     
    This Agreement shall be governed and construed in accordance with the laws of the State of .

  8. HEADINGS AND INTERPRETATION
     
    Headings are inserted for the convenience of the parties only and are not to be considered when interpreting this Agreement. In interpreting the language of this Agreement, the Landlord and Tenant will be treated as having drafted this Agreement after meaningful negotiations. The language in this Agreement will be construed as to its fair meaning and not strictly for or against either Party.
